1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Medelic Ltd ("Medelic", "we", "our", "us") governing your access to and use of the Medelic platform, including our website, applications, and AI-powered triage services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not access or use our services.

2. Eligibility

Our platform is designed for use by NHS GP practices and other authorised healthcare organisations in the United Kingdom. To use our services, you must:

  • Be a registered healthcare organisation or an authorised representative
  • Have appropriate clinical governance structures in place
  • Agree to our Data Processing Agreement
  • Comply with all applicable laws and professional regulations

3. Description of Services

Medelic provides an AI-powered telephone triage platform that:

  • Conducts automated clinical triage conversations with patients
  • Integrates with clinical systems (EMIS, SystmOne)
  • Generates structured clinical summaries
  • Prioritises patient needs based on clinical protocols

Important: Medelic is a clinical decision support tool. It does not replace clinical judgement. All triage outputs must be reviewed by qualified healthcare professionals before clinical decisions are made.

4. User Responsibilities

As a user of our platform, you agree to:

  • Maintain appropriate clinical oversight of all triage outputs
  • Ensure staff are adequately trained to use the platform
  • Keep login credentials secure and not share access
  • Report any errors, concerns, or safety incidents promptly
  • Comply with your organisation's clinical governance policies
  • Not attempt to reverse engineer or misuse the platform

5. Clinical Safety

Medelic is developed in accordance with DCB0129 (Clinical Risk Management) and maintains a Clinical Safety Case. However:

  • The platform is a support tool, not a replacement for clinical assessment
  • Healthcare professionals retain full responsibility for clinical decisions
  • Emergency situations should always be directed to 999
  • The platform may not identify all clinical risks

6. Subscription and Payment

Access to Medelic requires a paid subscription. Payment terms are set out in your Service Agreement. We reserve the right to modify pricing with 90 days' notice.

  • Subscriptions are billed monthly in advance
  • All fees are exclusive of VAT
  • Late payments may incur interest at 4% above Bank of England base rate

7. Intellectual Property

All intellectual property in the Medelic platform, including software, algorithms, designs, and documentation, remains the property of Medelic Ltd. You are granted a limited, non-exclusive licence to use the platform for its intended purpose during your subscription period.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Medelic shall not be liable for any indirect, consequential, or incidental damages
  • Our total liability shall not exceed the fees paid in the 12 months preceding the claim
  • We do not exclude liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law

9. Indemnification

You agree to indemnify and hold harmless Medelic from any claims, damages, or expenses arising from your use of the platform, breach of these Terms, or violation of any third-party rights.

10. Termination

Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate access immediately if you breach these Terms or fail to pay fees.

Upon termination, you will retain access to export your data for 30 days. After this period, data will be deleted in accordance with our retention policy.

11. Changes to Terms

We may modify these Terms at any time. Material changes will be notified with at least 30 days' notice. Continued use of the platform after changes take effect constitutes acceptance of the modified Terms.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
